1. INTRODUCTION

Welcome to MELIO!

Please take time to read these terms and conditions of use for the MELIO Service and any referenced policies and terms (jointly referred to as “MELIO Terms”). The MELIO Terms constitute a legally binding agreement between the consumer placing the order (“You”) and MELIO ApS, registration number: DK44072718 (“MELIO”). This agreement governs Your access to and use of the personalized service for podcasts, videos, and other content, related software applications, and all content and materials offered by MELIO from time to time (collectively referred to as “MELIO Service”).

You acknowledge that the MELIO Service is only available to individuals who (i) are 18 years or older, or between 13 and 18 years old with parental consent, (ii) have the capacity to enter into a binding agreement with MELIO and are not barred under applicable law, (iii) are residents of a country where the MELIO Service is available, and (iv) use the MELIO Service for private, non-commercial purposes.

By accepting the MELIO Terms and/or using the MELIO Service, You represent and warrant that You meet these requirements and have entered into an agreement with MELIO.

2. CHANGES TO THE MELIO TERMS

MELIO may make changes to the MELIO Terms for valid reasons such as changes in functionality, technological advancements, or to ensure legal compliance. MELIO will notify You of material changes and may seek Your consent where necessary. Your continued use of the MELIO Service constitutes Your acceptance of the revised terms. If You do not agree with the changes, discontinue use of the service. You can terminate Your account by contacting MELIO at mail@melio.dk or by deleting Your account in the settings.

3. THE MELIO SERVICE

3.1 Your MELIO Account

To use the MELIO Service, You must create a password-protected account (“MELIO Account”). You represent that all information provided is accurate and up-to-date. Do not share Your account or password; You are responsible for all activity on Your account. Notify MELIO immediately of any unauthorized use and change Your password.

3.2 Membership and Payment

Certain features and content are available for free, but access to exclusive content (“Membership”) requires a subscription fee. Memberships can be purchased directly from MELIO or through third-party platforms such as the Apple App Store. Subscriptions renew automatically unless canceled before the end of the current period. MELIO reserves the right to change prices with prior notice.

3.3 Trials

MELIO may offer free or discounted trials (“Trial”). After the trial period, the subscription may continue automatically if specified in the trial conditions. To avoid charges, cancel the subscription before the trial ends.

4. YOUR USE OF THE MELIO SERVICE

The MELIO Service and all associated content are the property of MELIO or its licensors. MELIO grants You a limited, non-transferable right to use the service for personal, non-commercial purposes. All other rights are reserved by MELIO.

5. RIGHTS YOU GRANT MELIO

By using the MELIO Service, You grant MELIO the right to provide advertisements and other information. MELIO may include advertisements in its content, such as podcasts and videos.

6. FEEDBACK AND UNSOLICITED IDEAS

Feedback provided to MELIO is considered non-confidential, and MELIO may use it without payment. MELIO is not responsible for similarities between its content and unsolicited ideas or materials provided by You.

7. LIMITATIONS AND MODIFICATIONS

MELIO reserves the right to modify or discontinue the service or features. If the service is permanently discontinued, prepaid fees for unused periods will be refunded. You are responsible for using a compatible device and covering data charges.

8. THIRD-PARTY RIGHTS

The MELIO Terms do not grant rights to third parties except for Apple, if You use the MELIO iOS App. Apple has the right to enforce the MELIO Terms as a third-party beneficiary.

9. CONTENT AND THIRD-PARTY LINKS

MELIO is not responsible for the accuracy of content or third-party links included in the service. Use these at Your own risk.

10. PERSONAL DATA

Your use of the MELIO Service is subject to MELIO’s Privacy Policy which is to find at www.melio.dk.

11. EXPORT CONTROL

You agree not to export regulated materials in violation of applicable laws.

12. TERM AND TERMINATION

These Terms remain in effect until terminated by You or MELIO. Terminate by deleting Your account or contacting MELIO.

13. ENTIRE AGREEMENT

The MELIO Terms and related policies constitute the entire agreement between You and MELIO.

14. ASSIGNMENT

MELIO may assign its rights and obligations under these Terms.

15. INDEMNITY

You agree to indemnify MELIO for losses or claims arising from Your breach of these Terms.

16. WARRANTY DISCLAIMER

MELIO provides the service “as is” without warranties. MELIO is not liable for indirect damages.

17. GOVERNING LAW AND JURISDICTION

The MELIO Terms are governed by Danish law. Disputes are resolved in the City Court of Copenhagen.

18. LIMITATION OF LIABILITY

MELIO’s liability is limited to the amount paid by You in the past 12 months.

19. CLASS ACTION WAIVER

Claims against MELIO must be filed individually, not as part of a class action.

MELIO Brugsvilkår

1. INTRODUKTION

Velkommen til MELIO!

Tag dig venligst tid til at læse disse brugsvilkår for MELIO-tjenesten samt de tilhørende politikker og vilkår, de henviser til (samlet benævnt “MELIO Vilkår”). MELIO Vilkår er en juridisk bindende aftale mellem forbrugeren, der afgiver ordren (“Du”), og MELIO ApS, CVR-nummer: DK44072718 (“MELIO”). Aftalen omfatter Din adgang til og brug af den personlige tjeneste for podcasts, videoer og andet indhold, tilhørende softwareapplikationer samt alt indhold og andet materiale, som MELIO tilbyder fra tid til anden (samlet “MELIO-tjenesten”).

Du anerkender, at MELIO-tjenesten kun er tilgængelig for personer, der (i) er 18 år eller ældre, eller mellem 13 og 18 år og har forældres samtykke, (ii) har evnen til at indgå en bindende aftale med MELIO og ikke er forhindret i dette i henhold til gældende lovgivning, (iii) er bosiddende i et land, hvor MELIO-tjenesten er tilgængelig, og (iv) bruger MELIO-tjenesten til privat, ikke-kommercielt brug.

Ved at acceptere MELIO Vilkår og/eller ved at bruge MELIO-tjenesten erklærer Du, at Du opfylder ovenstående krav og har indgået en aftale med MELIO.

2. ÆNDRINGER I MELIO VILKÅR

MELIO kan fra tid til anden ændre MELIO Vilkår af gyldige grunde som f.eks. ændret funktionalitet, teknologisk udvikling og for at sikre juridisk overensstemmelse. Ved væsentlige ændringer vil MELIO informere Dig og/eller indhente dit samtykke, hvis det er nødvendigt. Din fortsatte brug af MELIO-tjenesten udgør din accept af de ændrede vilkår. Hvis du ikke accepterer de ændrede vilkår, skal du stoppe med at bruge MELIO-tjenesten. For at opsige din konto kan du skrive til mail@melio.dk eller slette din konto i dine indstillinger.

3. MELIO-TJENESTEN

3.1 Din MELIO-konto

For at bruge MELIO-tjenesten skal du oprette en adgangskodebeskyttet konto (“MELIO-konto”). Du erklærer, at alle oplysninger, du giver MELIO, er korrekte og ajourførte. Du må ikke dele din konto eller adgangskode og er ansvarlig for al aktivitet på din konto. Ved mistanke om uautoriseret brug skal du straks informere MELIO og ændre din adgangskode.

3.2 Medlemskab og betaling

Visse funktioner og indhold er gratis, men for at få adgang til eksklusivt indhold (“Medlemskab”) skal du betale et abonnement. Medlemskab kan købes direkte fra MELIO eller gennem tredjepartsplatforme som Apple App Store. Dit abonnement fornyes automatisk, medmindre du opsiger det inden den nuværende abonnementsperiodes afslutning. MELIO forbeholder sig ret til at ændre priser med forudgående varsel.

3.3 Prøveperioder

MELIO kan tilbyde gratis eller rabatterede prøveperioder (“Prøve”). Efter prøvens afslutning kan abonnementet automatisk fortsætte, hvis det er specificeret i prøvens betingelser. Opsig abonnementet inden prøveperiodens afslutning, hvis du ønsker at undgå betaling.

4. DIN BRUG AF MELIO-TJENESTEN

MELIO-tjenesten og alt tilhørende indhold tilhører MELIO eller dets licensgivere. Du får en begrænset, ikke-eksklusiv, ikke-overdragelig ret til at bruge tjenesten til privat og ikke-kommerciel brug. MELIO forbeholder sig alle andre rettigheder.

5. RETTIGHEDER, DU GIVER MELIO

Ved at bruge MELIO-tjenesten giver du MELIO ret til at levere reklamer og anden information til dig. MELIO kan inkludere reklamer i indholdet, som podcasts og videoer.

6. FEEDBACK OG UOPFORDREDE IDEER

Feedback, du giver MELIO, anses som ikke-fortrolig, og MELIO kan frit bruge den uden betaling. MELIO accepterer ikke uopfordrede ideer og påtager sig intet ansvar for eventuelle ligheder mellem indhold og dine forslag.

7. BEGRÆNSNINGER OG MODIFIKATIONER

MELIO forbeholder sig ret til at modificere eller ophøre med tjenesten eller dens funktioner. Ved permanent ophør refunderes forudbetalte gebyrer for ubrugt tid. Du er ansvarlig for at bruge en kompatibel enhed og betale eventuelle datagebyrer.

8. TREDJEPARTSRETTIGHEDER

MELIO Vilkår giver ingen rettigheder til tredjeparter med undtagelse af Apple, hvis du bruger MELIO iOS App. Apple har ret til at håndhæve MELIO Vilkår som en tredjepartsbegunstiget.

9. INDHOLD OG TREDJEPARTSLINKS

MELIO er ikke ansvarlig for nøjagtigheden af indhold på tjenesten eller for links til tredjepartstjenester. Brug af disse sker på eget ansvar.

10. PERSONDATA

Din brug af MELIO-tjenesten er underlagt MELIO’s privatlivspolitik som du finder på www.melio.dk..

11. EKSPORTKONTROL

Du må ikke eksportere reguleret materiale i strid med gældende lovgivning.

12. VILKÅRETS VARIGHED OG OPSIGELSE

MELIO Vilkår forbliver i kraft, indtil de opsiges af dig eller MELIO. Opsig ved at slette din konto eller kontakte MELIO.

13. HELE AFTALEN

MELIO Vilkår og relaterede politikker udgør hele aftalen mellem dig og MELIO.

14. OVERDRAGELSE

MELIO kan overdrage sine rettigheder og forpligtelser under vilkårene.

15. SKADESLØSHOLDELSE

Du accepterer at skadesløsholde MELIO for tab og krav, der skyldes din overtrædelse af MELIO Vilkår.

16. ANSVARSFRASKRIVELSE

MELIO leverer tjenesten “som den er” uden garantier. MELIO fraskriver sig ansvar for direkte eller indirekte tab.

17. LOVVALG OG VÆRNETING

MELIO Vilkår er underlagt dansk lovgivning. Retssager afgøres ved Københavns Byret.

18. ANSVARSBEGRÆNSNING

MELIO’s ansvar er begrænset til beløb betalt af dig i de seneste 12 måneder.

19. GRUPPESØGSMÅLSFRASKRIVELSE

Du og MELIO accepterer kun at indgive krav individuelt.
